General Terms of Use

1. Platform Overview

Kinkoza OÜ (hereinafter "Kinkoza") is a company incorporated under Estonian law, registered in Tallinn, Estonia (registry code: 17494294). Kinkoza operates a B2B online marketplace dedicated to the certified transfer of professional assets between businesses.

The platform connects professional sellers (legal entities or natural persons acting in the course of their commercial activity) with professional buyers, providing them with tools for listing publication, transaction management, and secure escrow payment.

2. Access to the Platform

2.1 Access conditions

Access to the platform is reserved for professionals. Any natural or legal person wishing to register must: (i) carry on a lawful commercial activity, (ii) be at least 18 years old if a natural person, (iii) have the necessary authority to bind the entity they represent.

2.2 KYC Process

In compliance with its legal obligations regarding anti-money laundering (AML/CTF) and in accordance with European regulations, Kinkoza subjects all users to an identity verification process (Know Your Customer — KYC) before account activation.

This process includes: verification of the identity of directors and beneficial owners, verification of the company registration number, screening against international sanctions lists (OFAC, EU, UN). Kinkoza reserves the right to refuse or suspend any account that does not meet KYC requirements.

3. Nature of Services

Kinkoza acts exclusively as a technical intermediary. Kinkoza is not a party to the sales contracts concluded between users. Listings published on the platform constitute offers made exclusively by sellers. Sales contracts are concluded directly between the seller and the buyer.

Consequently, Kinkoza cannot be held liable: (i) for the non-performance or improper performance of a sales contract, (ii) for hidden defects, defects or non-conformities of the assets sold, (iii) for misrepresentations made by either party, (iv) for any commercial dispute between the parties.

4. User Obligations

5. Intellectual Property

All elements of the platform (software, databases, texts, images, trademarks, logos) are the exclusive property of Kinkoza OÜ or its licensors. Any reproduction, modification, adaptation or use for commercial purposes is prohibited without prior written authorisation from Kinkoza.

6. Suspension and Termination

Kinkoza reserves the right to suspend or terminate any account in the event of a breach of these Terms of Use, fraudulent behaviour, failure to comply with KYC obligations or any activity likely to harm the platform or its users. Account termination does not release the user from ongoing obligations.

7. Limitation of Liability

To the extent permitted by Estonian law, Kinkoza's total liability under these Terms of Use shall not exceed the amounts actually received by Kinkoza from the relevant user during the three (3) months preceding the event giving rise to liability. Kinkoza shall not be liable for indirect damages, loss of data, loss of profit or reputational harm.

8. Governing Law and Jurisdiction

These Terms of Use are governed by Estonian law. Any dispute relating to their interpretation or performance shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia, subject to any mandatory provisions of the law applicable to the consumer in their country of residence.

9. Amendments

Kinkoza reserves the right to amend these Terms of Use at any time. Users will be notified of any material change by email at least 30 days before it takes effect. Continued use of the platform after this period constitutes acceptance of the amended Terms.
